ARTICLE 1 - INTRODUCTION

1.1 CynemaTV, LLC, along with its agents, assigns, and affiliates ("CynemaTV”, “we”, “us”, or “our”) offers an on-demand streaming service (the “CynemaTV Service”) accessible at https://cynematv.com/. This service allows users (“you,” “your,” “User,” “Subscriber”) to stream or temporarily download television shows, movies, video or audio clips, and other audio-visual materials (“Content”). Access to the CynemaTV Service is provided via electronic devices capable of internet connectivity, including but not limited to personal computers, mobile phones, tablets, media players, smart TVs, set-top boxes, and gaming consoles (collectively referred to as the “Access Device”). By using the CynemaTV Service and clicking “I Agree,” you acknowledge and agree to be bound by this legally binding agreement (“Agreement”) and our Privacy Policy. If you do not accept these terms, you should refrain from using the CynemaTV Service.

 

1.2 You may not use or access the Services unless, and by accessing the Services you represent and warrant that, you (1) if an individual, are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use our service, (2) have not at any time breached a contract with CynemaTV, (3) that you are the holder of the bank/credit card or bank account used for purchases on CynemaTV, and (4) accept and agree to be bound by these Terms.

1.3 The information provided on CynemaTV is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

ARTICLE 2 – ELIGIBILITY

 

2.1 The CynemaTV Service is exclusively available to users aged 18 and above. Children under 16 are strictly prohibited from using the Service, and we do not knowingly collect personal information from them. If the Service is used for a child's benefit, parental or guardian consent, including agreement to our Privacy Policy, is mandatory. Should you discover unauthorized use of the Service by or for your child, please contact us as outlined in “How to Contact Us,” for steps to remove the child’s information from our databases.

2.2 CynemaTV offers a Kids Program, tailored for children aged 2-17 years. Subscribers can create Kids sub-profiles with age-appropriate parental controls. By creating a Kids sub-profile, the Subscriber asserts they are the parent or legal guardian of the intended child user under 16. It is the Subscriber's responsibility to manage access and ensure adherence to age restrictions and parental guidance requirements. Our parental control features include age-based sub-profiles and a platform-wide parental PIN for content restriction, ensuring age-appropriate viewing. Subscribers must supervise all use of the CynemaTV Service through their account and ensure compliance with these terms.

ARTICLE 3 - INTELLECTUAL PROPERTY RIGHTS

 

3.1 Unless otherwise stated, CynemaTV, LLC. and/or its licensors own all copyrights, trademarks, domains, logos, trade dress, trade secrets, patents, and other intellectual property rights associated with the CynemaTV Services and our Services. All source code, databases, functionality, software, App designs, audio, video, text, photographs, and graphics on CynemaTV (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of United States, foreign jurisdictions, and international conventions. The Content and the Marks are provided on CynemaTV “AS IS” for your information and personal use only. Except as expressly provided in these Terms

You must not:

  • Republish material from CynemaTV
  • Sell, rent or sub-license material from CynemaTV
  • Reproduce, duplicate or copy material from CynemaTV
  • Redistribute content from CynemaTV

3.2 Provided that you are eligible to use the Services, we hereby grant to you a limited, non-exclusive, non-assignable, non-sublicensable license to access and use our Service (the “Content”), subject to the terms and conditions of this Agreement. This license is only for your personal and non-commercial use and only for the term of this Agreement. If you violate any of these restrictions, this license will automatically terminate, and you may be subject to prosecution and damages. We reserve all rights not expressly granted to you in and to the Services, the Content and the Marks.‍

3.3 All logos and trademarks of third party on CynemaTV are the property of their respective owners. These elements are used exclusively for identification and reference purposes, and do not imply any association or imply any association with or endorsement by the companies that own them.

3.4 We appreciate your suggestions, comments, bug reports, feature requests, or other feedback ("Feedback"). We are not obligated to keep Feedback confidential, even if you indicate it as such. If you provide feedback, comments, ideas or suggestions for our products and services, you assign to us all of your worldwide right, title and interest in and to any and all comments, suggestions, requests, recommendations or other feedback you choose to provide to us in connection with our Services, including all Intellectual Property Rights therein, and you agree that if necessary you will complete any documents deemed necessary to effect this assignment. You also agree to waive any right of approval for our use of the rights granted herein and agree to waive any moral rights you may have in any opinion, suggestion or other comment, even if it is altered or changed in a way that is not to your liking. you also understand and agree that you will not receive any fee, sum, consideration or remuneration for any of the rights granted in this section. Our receipt of your opinions, suggestions and other comments does not constitute an admission of their novelty, priority or originality, nor does it impair our right to any existing or future intellectual property rights.

 

3.5 You own all of the content or material you provide to us to use our services. You grant us a nonexclusive, revocable, worldwide, limited, fully paid-up and royalty-free right to use, copy, prepare derivative works of, distribute, publish, remove, retain, add, process, or analyze this information for the sole purpose of providing CynemaTV Services to you. You represent and warrant that you are entitled to and authorized to submit the content and that such content or material you submit is accurate and not in violation of any contractual restrictions or third party rights.

ARTICLE 4 - MOBILE APPLICATIONS

 

4.1 To use any mobile application feature of the Services (each, an “App”), you must have a compatible mobile device. We do not warrant that any App will be compatible with your mobile device. You may use mobile data in connection with an App and may incur additional charges from your wireless provider for using an App. You agree that you are solely responsible for any applicable charges. We may update any app and may automatically electronically update the version of any App that you have installed on a mobile device. You consent to all automatic upgrades, and understand that these Terms and Conditions will apply to all updated versions of an App. Any third-party open source software included in an App is subject to CynemaTV open source license and may be available directly from the creator under an open source license. These Terms and Conditions do not apply to your use of software obtained from a third-party source under an open source license.

 

ARTICLE 5 - USER REPRESENTATIONS

 

5.1 By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non¬human means, whether through a bot, script or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.‍

 

5.2 If you provide any information that is untrue, inaccurate, not current, or incomplete, or otherwise breach any of the above representations or warranties, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).‍

 

ARTICLE 6 - USER REGISTRATION

 

6.1 You may be required to register with CynemaTV. When you register for an account you will be asked to provide us with some information about yourself, such as email address, phone number, or other contact information. You agree that the information you provide is accurate and that you will keep it accurate and up-to-date at all times. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable. Users must inform CynemaTV, LLC. immediately and unambiguously, using the contact details indicated herein, in case they believe that their personal information, including, but not limited to, User accounts, access credentials or personal data, have been violated, improperly disclosed or stolen.

6.2 As a Subscriber, you are responsible for all activity on your CynemaTV account and must safeguard your password and user credentials, including social media log-ins we may accept. Treat these details, along with your payment information, as private and secure. Notify us immediately at the specified contact if you suspect unauthorized access or use of your account, password, user credentials, or payment details. You are responsible for changing your privacy and account settings promptly in case of unauthorized access. We are not liable for losses incurred due to unauthorized use of your account details without your consent.

 

ARTICLE 7 - OUR SERVICES AND DEVICE COMPATIBILITY

 

7.1 In accordance with the stipulations of CynemaTV's user agreement, subscribers are obliged to employ the CynemaTV Service exclusively through lawful means. This includes the authorized streaming or downloading of content via sanctioned channels such as the CynemaTV website or its designated application on duly registered Access Devices. The number of devices a subscriber can associate with their CynemaTV account is subject to predetermined limitations, which may be amended at CynemaTV's discretion. Subscribers are empowered to manage their device registrations, although CynemaTV reserves the right to impose restrictions on the frequency of such modifications within a specified timeframe.

 

7.2 The service offerings of CynemaTV encompass a variety of subscription plans, each characterized by distinct constraints regarding the simultaneous streaming of content to registered devices. Adherence to these restrictions, as stipulated by the chosen subscription plan, is mandatory for all subscribers. Additionally, the utilization of the CynemaTV Service necessitates Access Devices that conform to certain technical specifications as delineated by CynemaTV. The company absolves itself of any responsibility for service access issues attributable to the limitations of a user's Access Device.

 

7.3 Subscribers bear the responsibility for securing and maintaining all necessary technology, including reliable internet access and compatible Access Devices, to facilitate uninterrupted use of the CynemaTV Service. In instances where a subscriber utilizes an Access Device not owned by them, it is incumbent upon the subscriber to obtain explicit permission from the device's owner for the download or streaming of content and the use of the device in connection with the CynemaTV Service.

 

7.4 CynemaTV explicitly disclaims responsibility for any charges incurred for internet access, service provider fees, or data usage, stipulating that these costs fall under the purview of the subscriber or the owner of the Access Device. Furthermore, the quality of service and content, including the efficacy of streaming or downloading and the attendant costs, may be influenced by a multitude of factors such as geographic location, available bandwidth, device capabilities, and the quality of internet connection and service provider.

 

7.5 In its terms, CynemaTV expressly refrains from making any warranties or representations concerning the quality of the viewing experience, the duration required to stream or download content, or the bandwidth or data consumption necessary for such activities. The company also distances itself from any accountability for potential shortcomings in content quality or availability within its various subscription plans, underscoring that these aspects may be subject to variables beyond its control.

 

ARTICLE 8 – SUBSCRIPTIONS

 

8.1 The subscription to CynemaTV Services begins when a Subscriber successfully registers, sets a payment method (like a credit card or a voucher), and receives our acceptance. This subscription, governed by this agreement, continues on a month-to-month basis until terminated by either the Subscriber or CynemaTV as outlined in the terms.

 

8.2 CynemaTV may offer a Free Trial for a specified period post-registration. If the Subscriber doesn't cancel by the end of this period, the subscription automatically continues with the applicable Monthly Fee. Free Trials are exclusive to first-time Subscribers and eligibility is at CynemaTV's discretion. Subscribers retain access to the service for the remainder of the Free Trial period even if they cancel early. CynemaTV also reserves the right to select which subscription plans are eligible for the Free Trial.

 

ARTICLE 9 – PAYMENT AND BILLING

 

9.1 CynemaTV Subscribers are required to pay a monthly subscription fee, set periodically, along with applicable taxes. This fee doesn't cover internet, data, or Access Device costs. The fee is payable in advance for each Subscription Period, calculated from registration date or post-Free Trial expiration.

 

9.2 Billing occurs on a designated Monthly Billing Date, corresponding to the registration day or the day following the Free Trial's end. Subscribers can switch subscription plans, with specific conditions for transitions between standard, Pro, and Mobile plans. Prepaid days in one plan may be converted to credits for future use within CynemaTV's services.

 

9.3 CynemaTV may revise monthly fees, with a cap on annual increases. Subscribers will be notified at least 30 days in advance of any fee changes. If the increase exceeds 10%, subscribers have the right to cancel their subscription as per the provided terms.

 

Payment Method for CynemaTV:

 

9.4 Subscribers are required to specify a payment method (e.g., bank account, credit/debit card) during registration, providing the necessary details for billing. This authorizes CynemaTV to charge the Monthly Fee and any other service-related costs to the provided payment method.

 

9.5 Subscribers must ensure their payment details are current, valid, and sufficient to cover the fees. Changes in payment details require immediate updating on the CynemaTV platform. New payment methods may undergo authentication before acceptance.

 

9.6 CynemaTV may bill in local currency or US dollars, and subscribers are responsible for any related exchange rates. In cases of payment failure (due to expiration, insufficient funds, etc.), subscribers are liable for uncollected amounts, and CynemaTV may continue to attempt collection.

 

9.7 CynemaTV is not responsible for issues with third-party payment processors. Unsuccessful payments may result in subscription suspension, but subscribers remain responsible for due amounts.

 

9.8 Sales records and invoices are available on the CynemaTV account, and optionally via email or post. Vouchers and promotions might be offered, subject to specific terms.

 

9.9 CynemaTV's policy typically does not permit refunds for subscription fees. Once a fee is paid, it is non-refundable except in exceptional circumstances as determined by CynemaTV at its discretion. Subscribers wishing to end their subscription must follow the prescribed cancellation process outlined by CynemaTV. This process is designed to ensure a smooth and clear termination of services, and adherence to these procedures is mandatory for all subscribers. Failure to follow the specified process may result in continued billing until the proper cancellation steps are completed.

 

ARTICLE 10 – LINKING TO THIRD-PARTY WEBSITES

 

10.1 CynemaTV's App and website may feature or link to third-party products and services. While these might be co-branded, CynemaTV is not a party to any agreements between users and third-party providers and is not liable for any third-party actions or the services they provide.

 

10.2 Links or references to other websites or third-party products, services, or opinions are not endorsements by CynemaTV. Your engagement with these third-party entities is at your own risk. CynemaTV bears no responsibility for any loss or damage arising from the use of third-party websites, products, or services.

 

10.3 Users and third parties must not imply endorsement, affiliation, or recommendation by CynemaTV in any references or links involving the service, app, or content.

 

ARTICLE 11 - CONTENT MANAGEMENT AND RESTRICTIONS

 

11.1 CynemaTV emphasizes that it is the responsibility of the subscriber to ensure that the content available aligns with their personal preferences and requirements. The content offered does not constitute any form of professional advice or recommendation regarding various matters, including investments or products.

 

11.2 CynemaTV retains the right to continuously update and modify its services and content offerings. This includes the discretion to select, alter, or remove content available for streaming or downloading. Access to certain content may be restricted or tailored based on subscriber profiles or geographical locations.

 

11.3 CynemaTV implements various technologies, including encryption and geo-blocking, to safeguard content against unauthorized access and to manage geographical content availability. Subscribers are prohibited from attempting to access content that is restricted or not available in their location. CynemaTV's use of technologies also extends to managing the number and quality of content downloads, ensuring compliance with content access limitations. These measures underscore CynemaTV's commitment to maintaining the integrity and regulatory compliance of its content offerings while catering to diverse subscriber needs across different regions.

 

ARTICLE 12 - MODIFICATIONS AND INTERRUPTIONS

 

12.1 We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on CynemaTV. We will not be liable to you or any third party for any modification, price change, transaction suspension, or discontinuance of the Services.

 

12.2 CynemaTV reserves the right to temporarily suspend part or all of its services, website operation, or your account usage under certain conditions. These include maintenance or updates to the website or technology, detection of fraud or unauthorized use, negligent, fraudulent, or illegal use of services, non-compliance with obligations, compromised security of your account, or inaccurate subscriber information. Additionally, compliance with legal or regulatory directives may necessitate suspension.

 

12.3 Should non-payment occur, CynemaTV may also suspend services or account access until outstanding amounts are settled. Subscribers will be notified of suspensions where feasible and can choose to terminate or reactivate their subscriptions once all dues are cleared. The duration of suspension will correspond to the resolution of the cited issues.

 

12.4 We will use commercially reasonable efforts to keep CynemaTV Services available and accessible but we cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

 

12.5 We do not warrant or guarantee that the Service will function with your mobile or computing device or be compatible with the hardware or software on any particular devices. Information will be transmitted over a medium that will be beyond our control and jurisdiction; multiple factors, including network availability, may affect alert or notification delivery or otherwise interfere with the operation of the Service. Without limiting the foregoing, we, our licensors, and our content providers make no representations or warranties about (1) the availability, accuracy, reliability, completeness, quality, performance, suitability or timeliness of the Service, Content, including software, text, graphics, links, or communications provided on or through the use of the Service; or (2) the satisfaction of any government regulations requiring disclosure of information on our services or compliance of any software tools with regard to the Service. We have no obligation to provide technical support or maintenance for the Service. Although we take reasonable measures to keep the Service free of viruses, worms, Trojan horses or other code that contain destructive properties, we do not warrant or guarantee that files available for downloading through the Service will be free of such contaminations.

 

ARTICLE 13 - ‍DISCLAIMER

 

13.1 Under the maximum extent permissible by applicable law, CynemaTV explicitly disclaims all warranties, whether express, implied, or statutory, in relation to its services, application, and content. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and the absence of latent or other defects, whether or not discoverable. Furthermore, no representation or warranty is made regarding the reliability, accuracy, completeness, or timeliness of the content, service functionality, uninterrupted or error-free service provision, security, or the exclusion of harmful elements such as viruses, malware, or other destructive code. The subscriber acknowledges and accepts that the use of the CynemaTV service is at their sole risk and discretion.

 

ARTICLE 14 - EXCLUSION OF LIABILITY AND INDEMNIFICATION

 

14.1 Limitation of Liability: CynemaTV and its associated entities expressly disclaim all liabilities to the fullest extent permissible under law for any direct, indirect, incidental, special, punitive, or consequential damages. This non-liability pertains to, but is not limited to, errors or inaccuracies in content, any form of personal or property damage resultant from service usage, unauthorized access to or utilization of our proprietary technological infrastructure, disruptions or cessation in service data transmission, and the transmission of any malicious or destructive digital code through our platforms or content.

 

14.2 User's Indemnification Obligation: You, the Subscriber, agree to defend, indemnify, and hold harmless CynemaTV, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including, without limitation, reasonable attorneys' fees, arising from or relating in any way to your use of the CynemaTV Services, your violation of these Terms, or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Service using your account. This indemnification obligation will survive the termination or expiration of your subscription and these Terms.

 

ARTICLE 15 - TERM AND TERMINATION

 

15.1 These Terms shall remain in full force and effect while you use the Services. Without limiting any other provision of these terms, Subscribers can terminate their CynemaTV subscription at any time without specific reasons, by accessing their account on the CynemaTV platform and following the cancellation instructions. Cancellation should be done before the next Monthly Billing Date to avoid charges. If a third-party payment method is involved, separate cancellation with that party may be necessary.

 

15.2 CynemaTV reserves the right to terminate the agreement or subscription under certain conditions, including breach of terms, illegal activities, or compliance with legal directives. Notice will be provided unless immediate termination is required by law.

 

15.3 Upon termination by either party, access to CynemaTV Services continues until the end of the current billing cycle. The following provisions survive the expiration or termination of this Agreement for any reason whatsoever: Disclaimers, Ownership, Limitations on Liability, Choice of Law and Forum, Entire Agreement and Severability.

 

ARTICLE 16 - GOVERNING LAW AND DISPUTE RESOLUTION

 

16.1 These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of South Carolina, without giving effect to its conflict of laws provisions. You agree to submit to the personal and exclusive jurisdiction and venue in the courts sitting in Rock Hill, South Carolina for all disputes, claims, and actions arising from or in connection with the Services or otherwise under these Terms and Conditions.

16.2 Informal Negotiations: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute" and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

16.3 Binding Arbitration: If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Arbitration Rules of United States. Your arbitration fees and your share of arbitrator compensation shall be governed by the Consumer Rules and, where appropriate, limited by the Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online by a single arbitrator appointed in accordance with the then-current rules. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so.

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

16.4 Exceptions to Informal Negotiations and Arbitration: The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

16.5 California Users and Residents: You can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.‍

 

ARTICLE 17 - DIGITAL MILLENNIUM COPYRIGHT ACT OF 1998 (DMCA)  POLICY

 

17.1 This document is subject to the provisions set forth by the Digital Millennium Copyright Act of 1998 (DMCA). In compliance with the DMCA, copyright owners and their agents may file a complaint with the service provider’s designated agent if they believe their work is being infringed upon on the service provider's network or system. We accept no responsibility or liability for any material provided or posted by a user, at his solely discretion. This service provider respects the intellectual property rights of others and expects its users to do the same. We may also at our discretion limit access to the service and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement. We will make a reasonable effort to monitor and moderate the content submitted and/or posted by users for any obvious illegal content. If you believe that something appearing on the Service infringes your copyright, you may send us a notice requesting that it be removed, or access to it blocked. We suggest that you consult your legal advisor before filing a notice or counter-notice. Be aware that there can be substantial penalties for false claims. In accordance with the DMCA, we have adopted a policy of terminating, in circumstances deemed appropriate, of those users who are identified as 'repeat infringers' of copyright law. Send notices and counter-notices by sending an e-mail to CynemaTV.

ARTICLE 18 – MISCELLANEOUS

18.1 Entire Agreement: This Agreement constitutes the entire agreement between you pertaining to the subject matter hereof. Anything contained in or delivered through the Service that is inconsistent with or conflicts with the terms of this Agreement is superseded by the terms of this Agreement. This Agreement may not be modified, in whole or in part, except as described elsewhere in this Agreement. This agreement may be superseded by any terms agreed between an individual and CynemaTV.

18.2 Severability: If any of the provisions of this Agreement are held to be not enforceable by a court or other tribunal of competent jurisdiction, then such provisions shall be amended, limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

 

18.3 Assignability: You may not assign these Terms, or assign, transfer or sublicense your rights, if any, in the Service. You agree that this Agreement and all incorporated agreements between you and us may be assigned by us, in our sole discretion to any current or future affiliated company and to any successor in interest.

 

18.4 Force Majeure: CynemaTV, LLC. shall not be liable for any failure to perform its obligations under these Terms and Conditions if such failure results from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, or shortages of transportation or energy.

 

ARTICLE 19 - CHANGES

19.1 Supplemental Terms and Conditions or documents that may be posted on CynemaTV from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.‍
